These Terms of Service ("Terms") govern the custom one-on-one services offered by SDavidPrince (referred to as "I," "me," or "my") to clients ("you" or "your"). By engaging my services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please do not use my services.
Services Provided
I offer a range of custom one-on-one services, including but not limited to:
Writing and Content Creation (e.g., articles, blogs, eBooks)
Web Design and Development (e.g., HTML, CSS, JavaScript, website design, template customization.)
Graphic Design and Digital Art (e.g., commissions, illustrations, comics, animations)
Consulting and Coaching (e.g., business, tech, digital identity, website management)
Agribusiness Consultation (e.g., fish farming business guides)

The specific services listed anywhere on this site provided to you will be outlined in a separate service agreement or project proposal.
Client Responsibilities
To ensure a successful collaboration, you agree to:
Provide Accurate Information:
Supply all necessary information, materials, and feedback in a timely manner.
Communicate Promptly:
Respond to inquiries and requests for feedback or approval without undue delay.
Meet Financial Obligations:
Pay all invoices on time as specified in the payment terms.
Payment Terms
Fees:
Service fees will be outlined in the service agreement or project proposal. All prices are subject to change, but agreed-upon fees will not change once a service agreement is in place.
Payment Schedule:
Payment terms will be specified in the service agreement. Depending on the project, a deposit may be required before work begins, with the balance due upon completion.
Late Payments:
Late payments may incur additional charges. Persistent non-payment may result in the suspension or termination of services.
Revisions and Changes
Revisions:
I offer a specified number of revisions as outlined in the service agreement. Additional revisions or significant changes beyond the initial scope of work may incur extra fees.
Change Requests:
Any changes to the scope of the project must be agreed upon in writing. Additional fees may apply depending on the nature and extent of the changes.
Confidentiality
Client Information:
I respect your privacy and agree to keep any proprietary or confidential information you provide strictly confidential. Such information will not be shared with third parties without your consent, except as required by law.
Project Confidentiality:
You agree not to disclose any proprietary methods, processes, or tools used by me in the course of providing services.
Intellectual Property
Ownership:
Upon full payment, you will own the final deliverables. However, I retain the right to display the work as part of my portfolio, unless otherwise agreed upon.
Licensing:
If the work includes licensed materials (e.g., fonts, stock images), the appropriate licenses will be provided to you. It is your responsibility to ensure continued compliance with the terms of these licenses.
Pre-existing IP:
Any pre-existing intellectual property used in the project remains the property of the original owner.
Termination
By Client:
You may terminate the service agreement at any time by providing written notice. In such cases, you will be responsible for paying for all work completed up to the date of termination.
By Provider:
I reserve the right to terminate the service agreement if you breach these Terms or fail to cooperate adequately. Upon termination, any outstanding payments will become due immediately.
Refunds:
Refunds, if any, will be issued at my discretion, based on the work completed and any expenses incurred.
Disclaimers and Limitation of Liability
No Guarantees:
While I strive to deliver high-quality work, I do not guarantee specific outcomes or results. The success of the services depends on many factors, some of which are beyond my control.
Limitation of Liability:
To the fullest extent permitted by law, I shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Lagos, Nigeria.
Amendments
I reserve the right to amend these Terms at any time. Any changes will be effective immediately upon posting to my website or communicating to you directly. Continued use of my services after any such changes constitutes your acceptance of the new terms.
